We are looking for a Corporate Legal Counsel to join our Legal & Tax function in Zug. This role focuses on the corporate legal aspects of the Egeria Group - supporting the governance, structuring, and legal maintenance of the group's Swiss and international entities. You will work closely with the Chief Legal & Tax Officer and collaborate with colleagues across legal, finance, and the deal teams to ensure the group's corporate legal framework remains robust, compliant, and fit for purpose.

This is an excellent opportunity for an experienced in-house or advisory lawyer looking to move into a broader, business-facing corporate legal role within an entrepreneurial and international investment environment.

Key Responsibilities

  • Manage corporate legal matters for Egeria Group AG and its affiliated entities, including corporate governance, entity maintenance, and statutory compliance

  • Draft, review, and negotiate a wide range of corporate and commercial agreements (e.g. shareholder resolutions, board minutes, intercompany agreements, service agreements, NDAs)

  • Support corporate restructurings, entity formations, liquidations, and other changes to the group's legal structure

  • Assist with governance matters for boards and management bodies across group entities, including preparation of resolutions and maintenance of corporate records

  • Advise internal stakeholders on Swiss corporate law requirements and cross-border considerations relevant to the group's structure

  • Work closely with the Chief Legal & Tax Officer on corporate legal aspects of transactions, financing arrangements, and group reorganizations

  • Liaise with external counsel, notaries, and the Swiss commercial register on corporate filings and formalities

  • Contribute to the continuous improvement of internal legal processes, templates, and governance documentation

  • Support corporate tax-related matters in coordination with the tax team, where legal and tax considerations intersect

Job requirements

  • 4–6 years of relevant experience, gained in-house, at a law firm, or within a Big Four professional services firm

  • Solid grounding in corporate law, ideally including exposure to Swiss corporate structures and governance requirements

  • Corporate tax knowledge is a strong plus

  • Bar exam / admission to the bar is not a requirement

  • Strong drafting and negotiation skills, with an eye for detail and practical, business-oriented judgment

  • Ability to work independently, manage multiple matters simultaneously, and communicate clearly with both legal and non-legal stakeholders

  • Fluency in English and German required; Dutch is an advantage

  • A proactive, hands-on mindset suited to a lean, entrepreneurial team environment
